(A) Our professional time can be billed
as hourly, daily, fixed-price, and/or retainer. We also are open to
equity and success revenue/profit sharing as partial payment with a monthly
retainer. In addition, we itemize which expenses the client is responsible for
upfront, such as travel, lodging, or similar expenses incurred during the
completion of the assignment, as part of our overall contract.
(B) We believe in helping our clients
get paid on time and therefore expect to be paid on time as well. We bill
usually on the first and the fifteenth of the month.
(C) Although unlikely, the client always
has the right to terminate the assignment upon written notice. In such a
case, the client has no liability for charges beyond those incurred on their
behalf through the date when notice of termination is received by us.
(D) Because we can not serve a client
under terms and conditions that might impair our corporate principles, Sag
Harbor Group reserves the right to withdraw from any assignment, if conditions
develop to interfere with the successful completion of the assignment.
(E) It is understood that Sag Harbor
Group shall be independent contractors with the client, and nothing herein
shall be construed as designating us as employees or agents of the client for
any purpose.
(F) Sag Harbor Group will guard as
confidential all information concerning the affairs of the client that is
gathered during the course of the assignment. We agree to hold such
information in strict confidence, and not to disclose it to anyone for a
period of two (2) years or until the information is released by the client.
(G) Sag Harbor Group will not serve two
or more clients in areas of direct competition without first obtaining written
permission from our clients.
(H) The rights to any inventions that
may result from our work during an assignment will be assigned to the client
without any further charge for professional time. The client is, however,
responsible for all legal fees and similar expenses necessary to obtain
patents, trademarks, or copyrights that the client may desire to register.
